All content on this website — including text, design, code, imagery, and branding — is owned by ZeroDraft Studio unless otherwise noted. You may not reproduce, redistribute, or create derivative works from our content without written permission.
No warranties
This website is provided "as is." We make no warranties, express or implied, regarding the accuracy, completeness, or availability of any content. We reserve the right to modify, suspend, or discontinue the site at any time without notice.
Services & engagements
How engagements work
Every client engagement begins with a signed contract that defines scope, deliverables, timeline, and payment terms. These Terms of Service govern your use of the website, not the specific terms of any client contract. Your project contract takes precedence for all engagement-specific matters.
Fixed-price model
We quote fixed prices for agreed scopes. Any changes to scope during an engagement are discussed openly and priced separately with your approval before additional work begins.
Code ownership
Upon full payment, you own 100% of the code and intellectual property created for your project. ZeroDraft Studio retains no rights to the work product after delivery and final payment, except where explicitly agreed otherwise in writing.
Portfolio rights
Unless you request otherwise in writing, we may display a high-level description of your project — category, tech used, and outcome — in our portfolio. We will never publish proprietary business logic, sensitive data, or trade secrets. A simple written request removes your project from our portfolio.
Payments & refunds
Payment terms
Standard payment structure is 50% upfront and 50% on delivery. Specific terms are stated in each project contract. Invoices are due within 7 days of issue unless otherwise agreed.
Late payments
Work may be paused if invoices remain unpaid beyond the due date. We will notify you before pausing. Resumed work is scheduled based on current availability.
Refunds
The upfront deposit is non-refundable once work has commenced, as it covers planning, scoping, and initial development work. If a project is cancelled after commencement, payment is due for work completed to the cancellation date. Specific refund terms are defined in each project contract.
Confidentiality & NDAs
Mutual NDA
Every engagement begins with a signed mutual NDA. We treat your business information, product ideas, user data, and internal processes as strictly confidential. This applies both during and after the engagement.
Our obligations
We will not disclose your confidential information to third parties, use it for purposes other than delivering your project, or retain it beyond what is necessary for the engagement.
Limitation of liability
Scope of liability
ZeroDraft Studio's total liability for any claim arising from a project engagement is limited to the total fees paid for that engagement. We are not liable for indirect, incidental, special, or consequential damages — including lost profits or business interruption — even if advised of the possibility of such damages.
Third-party services
We are not liable for the failure, downtime, or policy changes of third-party services (hosting providers, APIs, payment processors) that your product depends on. We will help you plan for resilience, but we cannot guarantee third-party uptime.
Website content
ZeroDraft Studio is not liable for any loss or damage arising from your use of, or reliance on, information published on this website. Information is provided in good faith but without guarantee of accuracy or completeness.
Governing law
Jurisdiction
These terms are governed by the laws of the jurisdiction in which ZeroDraft Studio is registered. Disputes that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
Dispute resolution
Before initiating any formal dispute process, both parties agree to attempt to resolve the matter through good-faith discussion for a period of 30 days. Most issues are resolved far faster than that — we'd rather fix a problem than fight about it.
Changes to these terms
Updates
We may update these Terms of Service periodically. Changes are effective when posted to this page with a revised "Last updated" date. Continued use of the website constitutes acceptance of the updated terms. Project contracts in force at the time of an update are governed by the terms in effect when the contract was signed.
